1. Who you are contracting with

These terms are between you and BusinessVault, trading as BusinessVault (“we”, “us”, “our”), the operator of the BusinessVault platform. You can reach us at support@businessvault.co.za.

2. Acceptance

By creating an account, buying a resource kit, subscribing to a membership or otherwise continuing to use BusinessVault, you agree to these terms. If you are using BusinessVault for a business, you confirm you have authority to bind that business. If you are an individual, you confirm you are of legal age to enter into a contract.

3. What we provide

BusinessVault is a digital platform offering downloadable business resources (social media kits, marketing kits, guides, spreadsheets and checklists), AI-assisted content tools, and membership features such as storage for your creations, messaging and business discovery. Everything is digital — nothing is shipped.

4. Your account

You must give accurate information and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us immediately if you suspect unauthorised access.

5. Licence and restrictions

Subject to payment, we grant you a limited, non-exclusive, non-transferable right to use BusinessVault and the resources you purchase or unlock, within the limits of your plan, for your own business purposes. You may not resell, redistribute or sub-licence the resources as stand-alone products, reverse engineer the platform, or circumvent technical or usage limits.

6. Acceptable use

You must not use BusinessVault to:

• break the law, or facilitate fraud, spam or deceptive marketing;
• infringe anyone’s intellectual property or privacy rights;
• upload or generate malware, or probe, scan, scrape or otherwise interfere with the security or integrity of the platform;
• create unlawful, hateful, harassing or sexually explicit content, deepfakes or impersonations of real people, or content that misleads about its origin;
• attempt to bypass content filters, safety systems or plan limits.

7. AI tools, inputs and outputs

Some features generate text, images or video from your prompts. You are responsible for the prompts you submit, for having the rights to any content you upload, and for how you use the outputs. You keep ownership of your inputs and, as between you and us, of the outputs you generate, subject to your plan and these terms.

AI outputs may be inaccurate, incomplete or unsuitable for your situation. They are not legal, financial, tax or other professional advice — check outputs before you publish or rely on them. We may moderate, filter, refuse or remove content, and we may restrict or suspend accounts that generate prohibited content. If you believe content on BusinessVault infringes your rights, email support@businessvault.co.za and we will review and remove infringing material; repeat infringers lose access.

8. Our intellectual property

We retain ownership of BusinessVault, including the software, templates, documentation, designs and branding. Nothing in these terms transfers that ownership to you.

9. Payments, subscriptions and taxes

Memberships bill monthly or annually in advance and renew automatically until cancelled. Cancelling stops the next renewal; your access continues until the end of the period you have already paid for. Upgrades take effect immediately and are pro-rated; downgrades take effect at your next renewal. Resource kits are once-off purchases that give permanent access to the files.

Payment, billing, invoicing, tax and cancellation mechanics are handled by our reseller and are governed by Paddle’s Buyer Terms. Refunds are covered by our Refund Policy.

10. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

11. Service availability

We work to keep BusinessVault available and reliable, but we do not guarantee uninterrupted or error-free performance. Features may change, and third-party AI models or providers may be updated or replaced.

12. Suspension and termination

We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using BusinessVault at any time. When access ends you can no longer sign in; export anything you need from your dashboard beforehand, as stored creations may be deleted after a reasonable period.

13. Warranties and liability

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect or consequential loss, including loss of profits, data or goodwill. Our total liability is limited to the fees you paid us in the 12 months before the claim. Nothing excludes liability for fraud, death or personal injury where the law does not permit exclusion.

14. Indemnity

You indemnify us against claims arising from your content, your unlawful use of the platform, or your breach of these terms.

15. General

These terms are governed by the laws of South Africa, and the South African courts have jurisdiction. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond reasonable control. If we change these terms, we will update the date above and, for material changes, notify you in the app or by email.
